The rules that govern your use of QIUBBX.

Umbrella terms for Customers, Sellers, Riders, QBP, payments, AI and rewards.

These Terms & Conditions are in force and legally binding for use of QIUBBX in Malaysia. Operated by QIUBBX Technologies (M) Sdn. Bhd. Material updates will be versioned with a new effective date.

1. Introduction

These Terms & Conditions explain the rules, responsibilities and conditions that apply when you access or use QIUBBX websites, applications, marketplace services and related features.

Please read these Terms carefully before using QIUBBX. By accessing, registering for, or using QIUBBX, you acknowledge that you have read and understood these Terms and agree to be bound by them, together with any applicable policies, guidelines and terms referenced in this document. If you do not agree, you should not use the relevant QIUBBX service.

2. About QIUBBX

QIUBBX is a digital Food & Beverage marketplace and technology platform connecting participants within the food ecosystem.

Depending on the service, QIUBBX may facilitate interactions between Customers, Sellers, food businesses, Delivery Riders, QIUBBX Business Partners (QBP), business partners and service providers.

QIUBBX may provide technology for food discovery, ordering, Pre-Order, delivery, RFQ, catering, seller management, business analytics, AI-assisted business tools (including Adam), Rewards, live content (including Arena Live), the Food Business Operating System (FBOS) and other platform services.

3. Definitions

QIUBBX
QIUBBX Technologies (M) Sdn. Bhd. and/or the platforms, applications, websites and services operated by it.
Customer
An individual who uses QIUBBX to discover, purchase or obtain products or services.
Seller
A merchant or business offering food, beverage or related products/services through QIUBBX.
Rider
An individual or delivery partner performing delivery services through QIUBBX.
QBP
A QIUBBX Business Partner appointed or certified under the QBP programme.
Platform
QIUBBX websites, mobile applications, APIs, systems and associated services.
Order
A purchase request made by a Customer through the Platform.
Food GMV
Food value used as a calculation base as stated in the applicable policy or service terms.
Payment Gateway
The payment processing party used by QIUBBX to process payments.
RBS
QIUBBX Rental Base System.
Adam / Adam AI
AI-powered tools or assistants provided by QIUBBX.
Content
Text, images, video, audio, data, reviews, menu information, logos and other materials.

4. Eligibility

To use QIUBBX you must be at least 18 years old, provide true information, have legal capacity to enter agreements, comply with applicable law, keep your account secure, and not use the Platform for prohibited purposes.

QIUBBX may impose additional requirements for Sellers, Riders, QBPs, business partners, payment accounts and restricted services. All of those roles also require minimum age 18.

5. Account Registration

Some features require an account. You are responsible for accurate name and details, an active phone and email, protecting passwords/PINs/credentials, and securing devices and login information.

  • Do not use another person’s identity

6. Identity & Verification

QIUBBX may request additional information for identity, Seller, Rider, QBP, business or payment verification, compliance, fraud prevention and regulatory requirements.

Failure to provide required information may result in progressive restriction as shown above, depending on circumstances.

7. Seller Responsibilities

Food

  • Quality, safety, preparation, ingredients, allergens, packaging and availability

Menu

  • Accurate name, images, description, price, availability, portion and ingredients

Business

  • Licences, permits, registrations, applicable food requirements, operating hours and tax obligations

Orders

  • Accept or reject Orders appropriately
  • Prepare food as described
  • Ensure Order accuracy and proper packaging
  • Communicate operational issues promptly

Seller commercial terms must be read together with separate Seller Terms.

8. Seller Pricing

Sellers are responsible for accurate displayed pricing. QIUBBX may set rules relating to pricing, promotions, discounts, vouchers, fees and taxes.

9. Zero-Commission Model

QIUBBX operates a Zero Commission model as described on the Platform: QIUBBX does not charge commission on Seller sales under that model.

Important

Zero commission does not mean there are no other costs. Payment processing, Seller services, QBP services, delivery, taxes and optional services may apply under the relevant service and policy.

Specific rates and commercial figures are published in applicable service terms, policies or fee configuration — not as permanent fixed amounts in these Master Terms when they may change commercially.

10. Rental Base System (RBS)

QIUBBX uses a Rental Base System as part of the marketplace model. Rates, eligibility, billing methods and changes are presented via Seller dashboard, applicable agreements, pricing surfaces and service-specific terms.

These Master Terms do not hard-code RBS monetary rates that may change commercially.

11. Customer Orders

An Order is not necessarily accepted until the system confirms the required status.

12. Order Acceptance

Sellers may accept, reject, or fail to fulfil due to operational reasons, subject to platform rules.

QIUBBX may cancel or modify an Order for availability, payment failure, fraud, technical issues, safety, compliance or operational circumstances.

13. Payment

QIUBBX uses approved third-party payment infrastructure. The current configured provider includes Razorpay, subject to change or configuration updates as disclosed.

Payment processing is subject to payment provider rules, verification, settlement, payment status, refunds, chargebacks and applicable fees.

Seller settlement follows payment provider configuration and settlement schedules.

QIUBBX does not promise a specific settlement time unless stated in an applicable official payment arrangement.

15. QIUBBX Business Partner (QBP)

QBP is a separate programme within the QIUBBX ecosystem. Appointment, attribution, earnings, certification, ethics, wallet and termination are governed by QBP Terms & Conditions.

16. Delivery / Rider

Delivery may involve QIUBBX, a Rider, a third-party delivery partner, the Seller and the Customer.

Availability depends on location, operating hours, Rider availability, weather, traffic and operational conditions.

17. Pre-Order

Pre-Order is a transaction where the Customer orders for a future time. Customers must ensure date, time, quantity and delivery/collection details are accurate. Sellers must fulfil accepted Pre-Orders as accepted.

18. RFQ

RFQ allows Customers to request quotations from Sellers or business providers. An RFQ is not an automatic contract; it may expire, receive multiple offers, depend on availability and require additional confirmation.

19. Adam AI

Adam may be used for business insights, recommendations, analysis, Seller assistance, menu/business guidance and operational support.

Important

Adam AI provides assistance and recommendations. It does not replace professional, legal, financial, food safety, medical, tax or regulatory advice. Users are responsible for final decisions.

AI output disclaimer

AI output may be incomplete, inaccurate, out of date or unsuitable for a specific situation. Do not rely solely on AI for material decisions without appropriate verification.

20. Content & Reviews

Users may submit reviews, images, videos, comments, menu information and business information. Users must have the right to use such Content.

Reviews must be genuine, based on real experience, not misleading, abusive or defamatory, and not used for manipulation. QIUBBX may moderate, hide or remove reviews that breach policy.

21. Prohibited Use

  • Fraud, impersonation, money laundering, illegal transactions
  • Harassment, abuse, manipulation, fake reviews
  • Unauthorised scraping, hacking, malware
  • Account or payment abuse
  • Infringement of intellectual property
  • Listing or selling alcohol drinks (beer, wine, spirits, arak). Ginger beer is not treated as alcohol. Food that uses alcohol as an ingredient may be sold only with a mandatory Non-Halal badge.
  • Claiming Halal on a listing without a verified Halal certificate. QIUBBX is not a 100% Halal marketplace; non-Halal food may be sold if claims are truthful.
  • Food containing pork/khinzir or alcohol as an ingredient must display the Non-Halal badge. Hiding this or claiming Halal falsely: listing removed and the account is banned for life.

22. Food Safety

Sellers remain responsible for the food they prepare. QIUBBX is a technology/marketplace platform and does not take over Seller responsibility for food preparation, hygiene, ingredients, allergens, licences or food safety.

QIUBBX may take platform action when reports are received or compliance issues are detected.

23. Intellectual Property & Brand

QIUBBX owns or licenses trademarks, logos, software, platform design, code, systems, databases, proprietary technology and platform content. Using the Platform does not transfer ownership to you.

You may not use QIUBBX logos, brands, trademarks, screenshots or marketing assets for commercial purposes without permission, except as expressly allowed.

24. Third-Party Services

QIUBBX may use third-party services including payment providers, mapping, cloud infrastructure, analytics, communications, identity verification and AI services. Those services may have their own terms and privacy policies.

25. Taxes

Each party is responsible for tax obligations imposed by applicable law. QIUBBX may collect applicable taxes, display taxes, issue documentation or modify charges when required. Buyer payment receipts should show tax and rider fee lines when they apply.

26. Promotions & Rewards

Promotions may have specific eligibility, validity, usage limits, geographic restrictions and redemption rules. Promotion-specific terms may control for that promotion if there is a conflict.

QIUBBX Rewards are governed by separate Rewards Terms. Rewards are not cash, are not necessarily transferable, may expire and are subject to eligibility.

27. Account Suspension & Termination

QIUBBX may restrict or suspend accounts for violations, fraud suspicion, payment issues, safety or compliance concerns, abuse or legal requirements.

Users may request account deletion under QIUBBX procedures. QIUBBX may terminate accounts when permitted by these Terms, applicable policy or law.

Certain data may be retained for legal, accounting, fraud prevention, dispute or regulatory requirements.

28. Privacy

Processing of personal data is governed by the QIUBBX Privacy Policy. You should read the Privacy Policy before using the Platform.

29. Security & Availability

QIUBBX will take reasonable steps to protect the Platform. No internet-based system can be guaranteed completely secure. Users must protect passwords, OTP, devices and credentials.

QIUBBX aims to keep the Platform available but does not guarantee uninterrupted, error-free or continuous availability, nor availability of every Seller or delivery option. Maintenance and technical problems may occur.

30. Limitation of Liability & Indemnity

Liability and indemnity clauses apply to the maximum extent permitted by Malaysian law and do not exclude rights that cannot be waived under consumer protection or other mandatory statutes.

To the maximum extent permitted by applicable law, QIUBBX shall not be liable for indirect, incidental, special, consequential or punitive losses arising from use of the Platform — without excluding mandatory rights that cannot be waived.

Users are responsible for losses arising from their breach of these Terms, unlawful conduct, infringement, misuse or fraud, to the extent permitted by law.

Seller–Customer relationship

For food transactions, the primary commercial relationship for food supply is between Customer and Seller. QIUBBX provides platform, technology, marketplace, payment infrastructure and support. QIUBBX does not blanket-remove responsibilities that applicable law places on platforms or other parties.

These Terms are governed by the laws of Malaysia. Subject to any mandatory arbitration or mediation pathways in service-specific terms, the courts of Malaysia have jurisdiction.

32. Changes to Terms

QIUBBX may update these Terms when needed. Material changes will be notified by reasonable means such as website, app, email, notification or account notice.

Documents are versioned (for example Version 1.0, then Version 1.1). Previous versions are superseded, not silently overwritten without audit trail.

33. General Provisions

Severability

If any provision is held invalid or unenforceable, it shall be modified or severed to the minimum extent necessary without affecting remaining provisions, subject to applicable law.

No waiver

Failure by QIUBBX to enforce a provision does not constitute a waiver of that right.

Entire agreement

These Master Terms must be read with Privacy Policy, Seller Terms, QBP Terms, Rider Terms, Payment Terms, Refund Policy, Rewards Terms, Cookies Policy, Community Guidelines and Compliance policies. If there is a conflict, service-specific terms determine precedence according to QIUBBX’s published hierarchy unless mandatory law requires otherwise.
